1. The Service & License
Grant of Access: We grant you a non-exclusive, non-transferable right to access and use the MTS Software platform for your internal business operations.
Restrictions: You must not attempt to "scrape," reverse-engineer, or resell any part of the software. Access is for the authorized user only and cannot be shared.
2. Payment & Access
Manual Monthly Billing: This service is provided on a month-by-month basis. To maintain access, you must pay the monthly fee in advance.
No Auto-Renewal: We will not automatically charge your card. You are responsible for making a manual payment each month to renew your access.
Payment Reminders: As a courtesy, we will send an email reminder 5 days before your current month expires.
Expiration of Access: If payment is not received by the end of your current period, your access to the MTS Software platform will automatically expire. Your data will be held for 30 days after expiration to allow for late renewal, after which it may be permanently deleted.
3. Data & Privacy (UK GDPR)
Ownership: You own all data you upload to the platform.
Our Role: MTS Software acts as a Data Processor for your customer data and a Data Controller for your account information.
Security: We use industry-standard encryption (AES-256) and secure UK/EU-based cloud hosting.
4. Service Levels & Support
Uptime: We aim for 99.9% uptime. However, the service is provided "as is" for general business use.
Maintenance: We may perform scheduled maintenance, usually between 10 PM and 4 AM GMT, during which the service may be briefly unavailable.
5. Limitation of Liability (The "Shield")
To the maximum extent permitted by the Consumer Rights Act 2015, MTS Software Limited’s total liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for any indirect loss of profit or business data.
6. Termination
By You: You can cancel at any time via your account settings. Access will continue until the end of your current billing period.
By Us: We may terminate your access immediately if you breach these terms (e.g., non-payment or IP theft).
7. Governing Law
These terms are governed by the laws of England and Wales.
